What is the status of the Supplier Code of Conduct document?
"Supplier shall comply with the Buyer’s Supplier Code of Conduct."
The Buyer’s Code of Conduct may become part of the contract through what is called incorporation by reference, but this depends on factors such as:
- whether the Code of Conduct is clearly identified,
- whether it was provided or made available to the supplier, and
- whether the supplier had an opportunity to review it before accepting the contract.
If the CoC was not clearly identified and so made available, its legal status is uncertain.
Is it part of the contract?
Buyer sends its Supplier Handbook after the contract is signed.
A document sent after the contract has been made does not automatically become part of the contract unless:
- both parties agree to make it part of the contract, or
- the contract allows unilateral updates (which itself may be limited).
